• Represented the Group in disputes over the termination of distribution rights and fiduciary obligations arising.
  • Advised on issues arising from the reorganization of – MOL Group, MITV, Sun Media & Ors, Tropicana Medical Centre & Ors.
  • Advised on legal issues arising from the successive re-development and re-positioning of the E&O Hotel, George Town and Lone Pine, Batu Ferringhi. Sime Darby.
  • Advised the Group on legal issues arising from their development projects notably the Dua Residensi in relation to common property and easement rights.

Presently appointed to represent George Kent (Malaysia) Bhd in Rubber Glove Venture which will be undertaken in 24 months for a contract sum of RM624.1 million, following its subscription of 40% stake for RM40 million in Dynacare.

Advised upon a wide range of legal issues arising from:

  • represented subsidiary company in CIPAA proceedings in defence to alleged breaches of conditions under PAM Contract 2006 in claims in excess of RM 500m in aggregate.
  • The RM 567 million acquisition of the Pamol Group, the review of the acquisition agreement, legal due diligence & advise on completion issues and contingent liabilities, inclusive of contracts pertaining to plant and equipment.
  • the RM 423 million acquisition of Pan Century Group from Birla Group of India and issues arising from plant efficiency.

Advised the Group in regard to:

  • its acquisition of Central Boulevard in Singapore. The transaction was valued at S$2.57 billion. We had also advised the Group in relation to its venture with Hongkong Land International Holdings Ltd and the exit from the said venture.
  • the initiation of a REIT Structure in Singapore.
  • Joint Venture Proposals following its acquisition of the Marina View Site in Singapore for RM 4.7 billion. The development includes a luxury hotel and other assets.
  • proposed Joint Venture between IOI Properties Group Berhad and Borneo Properties Sdn Bhd for the development project of a luxury hotel and the operation thereof.

In dispute resolution:

  • represented the Group in proceedings with the vendors of Pamol Group for alleged breaches of warranty.
  • SIAC arbitration against the vendors of Pan-Century Edible Oils for breaches of warranties and claims relating to a water treatment plant at Pasir Gudang.

Provided legal support to IIB and their advisors Ernst & Young in regard to:

  • fiduciary issues;
  • the law relating to procurement, tenders and Corporate Governance;
  • forensic audits and regulatory issues arising;
  • employment law issues.

Advised upon and/or successfully represented Khazanah Nasional Berhad in:

  • Legal and strategic issues in the GLC transformation plan and drafted parts of the GLC Transformation Manual.
  • Forensic audits and fiduciary issues involving GLCs and investee companies.
  • The establishment of a unit in India and Permenant (PE) establishment issues arising.
  • The reorganization of GLCs e.g. Telekom Malaysia.
  • Employment migration within Malaysia and globally.
  • Advising investee companies of tender/procurement laws, regulations, procedures & Corporate Governance principles.
  • Successfully represented KNB in legal proceedings concerning breaches of fiduciary duty.

  • Equipment Supply Contract and Consulting Services for Sungei Buloh Hospital (Malaysia) (RM 164.7 million)
  • Equipment Consultancy Services in relation to the extension wing of National Heath Centre (Malaysia) (RM 1.8 million)
  • Equipment Package for King Hamad General Hospital at Muharraq (Kingdom of Bahrain) (€ 52 million)
