  • legal and employment issues arising from the merger and integration of the AmFinance and AmBank units into AmBank (M) Berhad;
  • legal and employment issues arising from the merger of MBf Cards (Msia) Sdn Bhd with Ambank (M) Berhad and MBf Cards (Msia) Sdn Bhd; and the merger of Kurnia with Ambank Group.
  • Regulatory issues concerning Bank Negara Malaysia, the Securities Commission (SC) and matters arising therefrom.
  • Provided corporate advisory services in the acquisition of Asia Asia from DRB-HICOM. Appointed to the Board as first Company Secretary of the new Air Asia.
  • Advised the Company on employment law issues, safety, and regulatory issues arising and represented the Company in numerous legal challenges in the civil and industrial courts (Puan Hu Mei Choo v Air Asia Berhad Award No 1140/2011; Mohd Nor Khan Bin Gulam Haider v Air Asia Berhad Award No. 1236/2016; Mohd Nor Khan Bin Gulam Haider v Air Asia Berhad Award No 2793/2019).
  • Successfully defended the Group in shareholders dispute involving Granasia Corporation [2011] 1 LNS 1343 and others.
  • Disputes with unit owners of Berjaya Times Square.
  • Advised on issues arising from the reorganization of – MOL Group, MITV, Sun Media & Ors, Tropicana Medical Centre & Ors.
  • Advised the Group on corporate rationalization following its de-merger with BRDB, Multi-Purpose Corporation and Kamunting Corporation.
  • Advised on legal issues arising from the successive re-development and re-positioning of the E&O Hotel, George Town and Lone Pine, Batu Ferringhi.

  • acquisition of the Pamol Group, the review of the acquisition agreement, legal due diligence & advise on completion issues and contingent liabilities (RM567 million).
  • acquisition of Pan Century Group from Birla Group of India (RM 423 million).
  • acquisition of Socteck Edible Oils (RM 2.05 million).
  • recession of the acquisition of 24,117.82 hectares of land from Duta Land Berhad and settlement of the disputes (RM830 million).
  • joint Venture Agreements for plantations and development and disputes with consultants, contractors and purchasers in the various IOI Projects and Townships.
  • advised the Group in relation to its proposal to acquire Taipei IOI, in Taiwan. The transaction was valued at RM2.74 billion.
  • advised the Group in regard to its acquisition of Central Boulevard in Singapore. The transaction was valued at S$2.57 billion. We had also advised the Group in relation to its venture with Hongkong Land International Holdings Ltd and the exit from the said venture.
  • we had rendered our views to the Group in regard to the initiation of a REIT Structure in Singapore.
  • advised IOI Properties Group Berhad on Joint Venture Proposals following its acquisition of the Marina View Site in Singapore for RM 4.7 billion. The development includes a luxury hotel and other assets.
  • regulatory issues arising from take overs and mergers and regulatory compliance.
  • Advised the Group on the setting of subsidiaries and establishments across the region, disputes in dealership agreements and recovery under importer-exporter structures.
  • Advised the Group on the acquisition of Voltas Limited in Mumbai (India) valued at RM56,740,200).
  • Advised MSIG in the acquisition of Aviva Assurance and subsequently Hong Leong Assurance and legal issues connected with the migration and the integration units.
  • Successfully defended MSIG in a significant claim over its Pension Trusts.

  • Rationalization of East-Malaysia businesses.

  • World Services Group outsourcing exercises to Accenture.

  • Advised upon the acquisition of TData Corporation Sdn Bhd (Malaysia) and Memorex Telex.
  • Advised upon the legal issues between medical consultants and the owners, contractual structures and issues arising from an investment scheme for Consultants and others.
  • Successfully represented SJMC in successive claims by Consultants over their Contracts. In this regard we have represented them in injunctive applications, public law disputes, proceedings before the Industrial Court and appellate courts.   • Advised the Group on numerous legal and employment issues arising from the largest merger exercises in the country i.e. between Sime Darby Group, Guthrie and Golden Hope e.g. migration of business and personnel, harmonization of contracts etc.
  • Advised the Group on fiduciary issues and forensic audits over:
    • The cost escalations and civil engineering contracts the Bakun Hydro-Electric Project.
    • Futures Trading Losses in Golden Jomalina Food Industries Sdn Bhd and tender issues in Tractors Malaysia Berhad.
  • Advised upon regulatory issues over professional accounting firms and action taken thereon.
  • Advised the Automotive Division in regards to the acquisition of the Porsche and BMW marques and the reorganization of AMIS Manufacturing Assets.
  • Successfully represented the Group in an employment law claim by a Senior employee against his mobilization to the Bakun Project (Zulkifli Abdul v Sime Engineering Services Berhad [2011] 2 LNS 0127).

Advised the group on the restructuring of its finances, receivables, security of payment, the phasing out of facilities and the introduction of new investors.

Advised the Group upon legal and contractual issues in various projects world wide. Services encompassed drafting, structuring and vetting agreements, advising upon financial solutions & establishing regional procurement units. The projects include:

  • intervening in Public Law Proceedings by minority shareholder against the Securities Commission (SC) and striking out the same. Sustained the decision in the High Court, Court of Appeal and Federal Court (Tuan Haji Zulkifli bin Haji Hussain v Suruhanjaya Sekuriti & 2 Ors [2005] 1 CLJ 345).
  • successfully defended IOI in a private law action by a minority shareholders arising from the take over of Palmco Holdings Berhad (Tuan HJ Zulkifli & Ors v IOI Corporation Bhd & Ors [2012] 4 CLJ 401).
  • successfully represented the Group in land reference appeals in connection with Kesas Highway and South Klang Valley Expressway (SKVE) acquisitions.
  • successfully represented the Group in an action by former partners of the Pamol Group in a claim for over RM 180 million.
  • represented the Group in proceedings with the vendors of Pamol Group for alleged breaches of warranty.
  • SIAC arbitration against the vendors of Pan-Century Edible Oils for breaches of warranties and claims relating to a water treatment plant at Pasir Gudang.
  • Numerous domestic & cross border commodity trading claims and disputes.
  • Action taken by RSPO on the Group’s certification.
